Michael Peregrine is a Fellow at SullivanCotter and advises the firm’s Corporate Governance Practice. He works closely with non-profit organization boards and senior executives on complex governance oversight, fiduciary, and leadership matters in an increasingly challenging regulatory and operating environment.
As a nationally recognized governance advisor, Michael is frequently called upon to guide clients through high-stakes and sensitive situations and in the areas of board design, development and effectiveness.
Michael’s experience includes:
- Advising boards on fiduciary responsibilities, governance structure and design, board culture, and oversight of executive leadership.
- Guiding non-profit boards through mergers, acquisitions, affiliations, and other change-of-control transactions, with a focus on governance alignment and long-term sustainability.
- Counseling boards and board committees on oversight of legal, risk, and compliance functions in highly regulated environments.
- Providing strategic guidance during periods of organizational stress, regulatory scrutiny, executive transition, and reputational challenge.
- Supporting confidential internal board reviews, governance assessments, evaluations and engagement exercises.
Prior to joining SullivanCotter as an advisor, he served as a longstanding Partner and Corporate Governance Attorney at McDermott Will & Schulte in Chicago.
He is also a prominent thought leader on corporate governance and not-for-profit board responsibilities. He is the author of Conflicts of Interest and the Non-Profit Board and a frequent contributor to leading governance, legal, and business publications.
Michael serves as a Senior Contributor to Forbes, where he writes on governance, leadership, and boardroom culture, and is a featured presenter of the American Health Law Association’s podcast series on governance issues in health care. He is also a Fellow of the American College of Governance Counsel. He earned his Bachelor of Arts from Texas Christian University and his Juris Doctor from Northwestern Pritzker School of Law.
