Kathy Hastings is a Managing Director at SullivanCotter and leads the firm’s Corporate Governance practice. Kathy has over 30 years of consulting experience advising non-profit clients, with a specialization in 501(c)(3) organizations and nationally renowned health systems. She works with boards and key executives in key areas of governance, executive compensation and benefits.
Kathy’s experience includes:
- Designing leadership compensation, incentive and benefits programs that are aligned with the mission and strategic goals of the organization and help drive the behaviors needed to succeed.
- Developing compensation committee procedures, responsibilities and policies.
- Supporting confidential internal board reviews, governance assessments, and evaluations.
- Assisting clients navigate change during M&A transactions, while creating consolidated compensation programs, policies and practices that support future consistency, increased services, and increased spans of control.
- Translating market intelligence and trends to educate boards and senior management teams on board governance and leadership compensation.
- Advising boards and compensation committees to ensure effective and compliant decision-making related to leadership compensation.
- Preparing formal opinion letters regarding the reasonableness of compensation provided to disqualified persons of non-profit 501(c)(3) organizations.
As a member of the SullivanCotter board, Kathy helps set the direction of the firm. Previously, she was a principal and executive compensation consultant at a global human resources firm.
Kathy has a Bachelor of Science in management information sciences from Southern Methodist University in Dallas, Texas. She also attended graduate-level business school at both New York University in New York City and Rutgers University in Newark, New Jersey.
