The General Counsel (GC) will be responsible for the legal affairs of the entire enterprise and will advise the CEO and the Board of Directors as well as business unit leaders and SullivanCotter’s leadership team. Guidance on overall corporate governance will be central for this first in-house legal executive as will broad generalist legal experience. The GC will facilitate the selection, management and evaluation of external legal advisors as needed. The GC will ensure that the company always operates within the law, will facilitate business strategy development, and limit risk exposure.

PRIMARY DUTIES AND RESPONSIBILITES

    Legal Strategy and Execution

    • Deep understanding of the SullivanCotter corporate strategy;
    • Develop legal strategy and objectives aligned with the corporate strategy and growth plans, organically and via acquisition.

    Corporate Governance

    • Provide counsel on corporate governance matters and support Board of Directors and Committees;
    • Advise on external governance trends, general legal issues and best practices in governance;
    • Prepare, manage and implement corporate governance policies;
    • Manage and enforce all other corporate policies.

    Regulatory Risk Management

    • Ensure regulatory compliance and corporate compliance relevant to the business;
    • Establish protocols to monitor and manage areas of potential risk exposure, e.g., privacy, data protection and cyber security, among others;
    • Strike the sensible and practical balance between legal risks and the need to move the business forward;
    • Ensure access to legal and regulatory specialists in health care, commercial law, and tax law, among others.

    Stock Plan Administration and Capital Structure

    • Support stock plan administration on equity matters;
    • Ensure access to specialists on tax consequences of transactions and firm capital structure;

    Corporate Transactions and M&A

    • Experience in structuring and executing mergers and acquisitions, including planning, letter of intent terms, deal agreements, and due diligence;
    • Draft and review services and product contracts and software licensing agreements;
    • Advise and execute Joint Ventures and other deal structures;
    • Employment agreement preparation, management, and oversight.

    Procurement

    • Vendor contracting and purchasing;
    • Real Estate facilities and leases.

    Contract Management

    • Ensure availability of a contract management system from contract approval through finalization and storage for both client and vendor contracts.

    Relationship Management

    • Establish and maintain active and constructive relationships with other teams in SullivanCotter;
    • Success with the executive team and board interactions;
    • Ability to gain the trust of the executive team and build a reputation for excellence in internal legal counseling;
    • Successful relationships with outside legal counsel; ability to guide outside counsel to achieve SullivanCotter business objectives.

QUALIFICATIONS

  • J.D. Degree from a reputable law school;
  • Admission to and in good standing with the Bar of any state;
  • 10+ years’ legal experience in a law firm and in-house corporate legal role;
  • Proven legal counsel experienced in a business-focused environment;
  • Health care, technology, professional services, and transactional experience desired;
  • Excellent communication skills and judgment;
  • Ability to anticipate legal issues and risks.
